This is a global role which requires to define, direct, provide, optimise and resource all legal advice and support for the activities of the INEOS Phenol and Nitriles businesses (C3D) and project manage M&A. Includes project work, acquisitions, disposals, general corporate and commercial, disputes and litigation, IP, company secretarial and compliance. Also the Compliance Officer for the business. Management of multi-million budget to maximise efficiency and cost effectiveness for the business. Assists in growing shareholder value to enable future business growth and returns.
The role directs the global legal strategy, project management of M&A, company secretarial and compliance activities across the world-wide businesses. Provision of legal support to the business portfolio on day-to-day commercial and company law matters is required, as well as managing disputes / litigation, negotiating settlements, providing and/or facilitating training and guidance globally for the business. Understanding underlying functional strategies is essential, as is thorough planning and resource management, to support the business in achieving its short and long term objectives.
Therefore, this role must keep abreast of external legal changes that may impact the business and help mitigate against risk of exposure, be it in M&A, litigation, contractual or compliance environment context. Regulatory appetite/focus on particular areas is important as to how this may impact C3D business strategy (e.g. in relation to financing, compliance and general risk).
The role will also act as the direct lead for the business with all external lawyers and regulatory bodies and be responsible for liaising with auditors, tax advisors, insurers and, indirectly, banks, credit insurers, and actuaries as and when required.
As a global business with operations and projects in America, Europe, Saudi Arabia and China, being able to work with and understand different cultures is essential, particularly from a compliance perspective and being able to adapt to ensure effectiveness within the relevant activity.
Accountabilities
Project management of global M&A activity (deal value up to €1.5bn).
Providing, managing and directing delivery of all legal matters across the C3D business division globally.
Delivering the legal aspects of the strategic management of the business including strategic analysis, risk management, shareholder value, growth and acquisition / divestment support.
Leading the legal, compliance and skill and capability development for the C3D Group.
Management of multi-million budget to maximise efficiency and cost effectiveness for the business.
Responsible for building, maintaining and managing global relationships with law firms. Acting as the Lead C3D contact for regulatory authorities globally.
Overseeing Company Secretarial functions and acting as an expert reference (through external local advisors where necessary) for the group in respect of company secretarial matters globally.
Ihr Profil

Qualified lawyer with 10 years post qualification experience

Qualification in at least one European jurisdiction, preference for English law

Experience in a leading law firm and "in-house"

Broad experience of global business operations a must

Extensive, proven M&A experience in Europe and US (other jurisdictions advantageous)

Ability to manage cross-border team

Ability to negotiate with counterparties and other stakeholders both independently and as part of a team

Strong executive presence and interpersonal skills with ability to challenge constructively

Existing network of lawyers globally

Fluent in English, other languages an advantage.

Experienced in managing compliance globally
Technical skills:

Deep understanding of corporate, commercial and litigation in Europe and US (other jurisdictions advantageous)

Deep understanding of M&A processes including regulatory regimes globally

Supports financing and re-financing initiatives of the business division

Ability to negotiate and effectively influence at senior level and on an international scale with different cultures

Excellent analytical and drafting skills with creative thinking capability

Knowledge of desktop-based applications (e.g. MSOffice suite) and general IT infrastructure and systems including legal carve out issues with the same on M&A projects

Understanding of financial reporting standards legislation (e.g. GAAP, IFRS)
